Chapter 1 – Presentation

This Code of Ethics and Conduct of REFERENCE RING Portugal Lda (NIPC 514961198) establishes the principal elements that must be considered in its relations with and among partners, executive partners, staff members, as well as end-user clients and other parties that have social or commercial relationships with or via the company.

This Code comprises ethical principles and rules of conduct and shall be considered a reference and guideline for decisions and actions of all parties involved, regardless of their hierarchical level or social status.

The assumption of, and compliance with the Code are essential conditions for the participation in all REFERENCE RING´s activities. It is incumbent upon all to observe it and extend to their own relationship network.

This Code of Ethics and Conduct may undergo reviews, whenever it is deemed necessary to adjust it to the objectives of REFERENCE RING and/or to the development of the ethical rules in business or society.


Chapter 2 – Associated Drivers

 2.1 Mission

To provide qualified and continuous support, as well as to foster commercial exchange among Portuguese service suppliers and their clients as well as prospective clients, especially from outside Portugal.

2.2 Vision

To provide information and intermediation between partners and clients or prospects in such a manner that the best operating and relationship practices is applied in the interest of all parties.

2.3 Values

Ethics, responsibility, commitment, transparency, service, quality.


Chapter 3 – Ethical Principles

The activities of REFERNCE RING Portugal, of its associated partners and executive partners shall be based on the following principles:

I. To carry out the work responsibly, with commitment and transparently;

II. To value the diversity of thoughts and opinions;

III. To conduct human relations with integrity, equity, cooperation and mutual respect;

IV. Not to tolerate any form of discrimination – based on nationality, gender, religion, skin color, social class or relating to any other personal feature;

V. To respect the Portuguese legislation and the rules, policies and procedures as stated in the Bylaws, the Internal Rules and this Code of Ethics and Conduct;

VI. To recommend and promote partnerships based exclusively on the best mutual interests possible, always remaining committed to free competition wherever applicable;

VII. To keep the information relating to end user clients or the works carried out for them secret and not to use it in any way for outside parties;

VIII. To be open for partnerships and the construction of mutually beneficiary relations;

IX. To be committed to the causes of REFERENCE RING and to strive for excellence in action;

X. To be a defender of the principles of sustainability, acting with economic, social and environmental responsibility when pursuing the activities of REFERENCE RING and to promote and enhance the same towards all parties involved;

XI. To be fully aware of the responsibility towards the business category and the market as a role model, setting precedents and gaining followers.


Chapter 4 – Rules of Conduct

4.1 The Executive Committee and its Responsibilities

IAll “EXECUTIVE PARTNERS” of REFERENCE RING are entitled and invited to be part of an “EXECUTIVE COMMITTEE” that shall all respect and ensure the compliance with the principles and rules contained herein.

II. The Executive Committee is responsible for supervising the behavior and decisions of its PARTNERS, EXECUTVE PARTNERS, as well as those of their managers, and end-user clients, with regard to the compliance of the guidelines in this Code. When behaviors deviating from this Code are identified by existing Partners, Executive Partners or Clients, each committee member will report accordingly so that corrective measures may be applied. Likewise, applications from new Partners, Executive Partners or Clients may be refused, as the case may be.

III. The communication between members of the Executive Committee may benefit from electronic means such as “Intranet” and computer conferences, but is never made public so as not to damage the reputation of any party, even refused for partnership or assistance.

IV. The members of REFERENCE RING´s Executive Committee and their managers shall show in their speech and actions the commitment to the values of REFERENCE RING, thus stimulating the other Partners to also observe this Code.

4.2 Partners and Clients’ Responsibilities

All Partners and/or their legal representatives, as well as the end-user clients shall follow and respect this Code of Ethics and Conduct.

4.3 Ethical Violations – Sanctions

 The disregard of any provision of this Code, the Bylaws or decisions taken by the Executive Committee shall be subject to the sanctions listed below that will be decided on by the Committee, depending on the severity of the respective violation:

a) A warning will be given for any of the following conducts:

(i) Violation of this Code or of any other regulations created or decisions taken that has not been remedied within fifteen (15) days from a communication to be sent by the Management of the Company on behalf of the Executive Committee;

(ii) Personal conduct harming or against the interests and/or purposes of REFERENCE RING and/or its Partners and Executive Partners;

b) The non-acceptance or exclusion from the listing of recommended service suppliers may be determined when any of the following conducts has been verified:

(i) The legal representative of the party involved has received two or more warnings within one year;

(ii) The maintenance of the conduct for which the party involved has been warned before;

(iii) Misconduct considered as very serious by the Executive Committee.

c) The Partner, Executive Partner or Client upon whom one of the sanctions set forth in this Article is imposed shall previously be heard and be entitled to exercise full right of defense.

d) The imposed sanction shall always be commensurate with the seriousness of the misconduct.

e) In the event of an ethical violation committed by a legal representative of the party involved, the Ethics Committee may restrict the scope of the sanction to the violating representative or extend it to the party involved, if the circumstances of the violation show the connivance of the latter with the violating representative.

4.4 Commitment Towards Information Dissemination

I. Whenever Partners, Executive Parters or Managers represent publically, they shall do so with the most consistent, exact, true and complete information available;

4.5 Prejudice, Discrimination and Harassment

I. REFERENCE RING rejects any form of prejudice, discrimination and harassment. REFERENCE RING Partners, Executive Partners and Clients undertake to treat everybody equally, regardless of the skin color, belief, gender or social class. If any professional or party feels discriminated against, they may turn to the Executive Committee that shall assess the case.
